UPSO Provider Agreement

For independent service Pros, Sidekicks, couriers and Caravan drivers in Ontario

Version 1.3.3 · Effective October 11, 2026 · UPSO Technologies Inc.

See also the Terms of Service and Privacy Policy.

This Provider Agreement (the "Agreement") is between UPSO Technologies Inc. of Kingston, Ontario, Canada ("UPSO", "we", "us") and the person or company accepting it ("you", the "Provider", or, in the app, a "Pro"). It takes effect the moment you accept it in the UPSO Pro app or on the UPSO Pro portal.

It is written in plain language on purpose. Where a word has a legal meaning, that meaning applies. If you are unsure about anything in it, ask us at [email protected] before you accept, or get your own advice.

1. What this Agreement is made of

This Agreement includes Schedule 1 (Commercial terms), Schedule 2 (Category requirements), Schedule 3 (Ontario digital platform work notice) and Schedule 4 (Acceptance record), plus every lane schedule, attestation or policy that UPSO shows you for acceptance before you can offer a service. A job offer you accept becomes part of the Agreement for that job.

If documents disagree, the order is: the law that cannot be contracted out of, then the accepted job offer, then the lane schedule or attestation, then Schedule 3 for covered platform work, then Schedule 1, then this main text. Nothing in this Agreement takes away a right you have under Ontario or Canadian law, and a better term in another document still applies.

2. Who can be a Provider

You must be at least 18, legally able to work and to carry on the business you offer in each place you offer it, and able to enter a binding contract. If you accept for a company, you confirm you have authority to bind it.

The person who does the work must hold a verified UPSO account in their own name and must meet every requirement for the lane: identity, a criminal record check, licences, insurance, vehicle papers and the declarations the lane asks for. Every active service requires the criminal record check. A personal account is never lent, shared or transferred.

You will keep your information accurate and current: your identity and contact details, service area, qualifications, licences, insurance, vehicle, payout details and tax status, and anything that affects your ability to work safely and legally. Tell us promptly if something changes, and protect your sign-in credentials.

UPSO checks what it reasonably needs to for the safety and integrity of the marketplace. A passed check, a badge, a rating or continued access is not an endorsement, a certification, a guarantee of work or an employment decision.

3. You run your own business

You and UPSO intend a contract for services between independent businesses. You are not an employee, partner, agent (except for the limited payment collection role in section 8), franchisee or joint venturer of UPSO. Neither of us can bind the other.

You decide whether to go online, which offers to accept or decline, when and where to work, and the lawful way you do the work. You may work for anyone else, including other platforms. UPSO does not require exclusivity, minimum hours, a minimum acceptance rate, uniforms, routes or work methods. Safety, legal, quality and customer-result requirements do not make UPSO your supervisor.

  • Hourly service lanes: you set your own hourly rate within the range UPSO publishes for that lane. The range exists so that customers see comparable offers; you choose where in it you sit and you can change it any time.
  • Sidekick lanes: UPSO shows a lane rate that you accept or decline job by job. You keep 85% of it, the same share as on any service job (Schedule 1, Platform fee).
  • Quote lanes: you price the job yourself in your quote.
  • Send parcels and Caravan seats: the price is shown before you accept. Caravan is cost-sharing, not a fare (Schedule 2, part D).

You pay your own business costs and supply and maintain your own tools, equipment, devices, vehicle and workspace. You have the opportunity to profit and the risk of loss. UPSO does not guarantee leads, jobs, income, ranking, placement or any volume of work.

You may bring in qualified help or a substitute only where the job and the law allow it, and only after each person has passed UPSO's own identity, screening, licence and insurance requirements and holds their own account. You remain responsible for their pay, direction, conduct and work.

If you work through a Pro company registered with UPSO: the owner accepts this Agreement for the company, and each crew member accepts it for their own conduct. The company holds the company papers (for example liability insurance and WSIB clearance), the owner or a manager may accept a job and hand it to a crew member, and the company is paid for the company's work (Schedule 1). While you are an active member of a company you do not take solo jobs through UPSO. Ratings belong to the person who did the work.

Legal status depends on the whole relationship, not on a label. If a court or regulator decides you have rights that cannot be waived and that are inconsistent with this section, those rights apply and the rest of the Agreement continues as far as the law allows.

4. UPSO's role and your contract with the customer

UPSO provides the technology that lets customers and Providers find each other, communicate, book, document a job and arrange payment. Unless a job says otherwise, UPSO does not perform the service and is not a party to the service contract between you and the customer.

When you accept a job you enter a direct contract with the customer to deliver the described service at the shown price and terms. You are responsible for assessing the request, confirming the scope, spotting hazards and permit needs, doing the work with reasonable care and skill, and leaving an accurate record of what was done.

UPSO sets the platform rules, decides which categories it offers, may require objective evidence of safety or quality, and runs support, payments, refunds, complaints and marketplace integrity. UPSO will never direct you to do unlawful or unsafe work. You may stop or refuse work where you have a reasonable concern about safety, legality, scope or your own competence; record the reason in the app when you do.

5. Offers and jobs

An offer is an invitation, not an instruction or a guarantee. You may accept or decline it without penalty, except for the consequences that are disclosed to you before you accept and that the law permits (section 17 and Schedule 3). Once you accept, do the job or cancel promptly using the in-app process.

Before you accept, review the location, timing, scope, your estimated payout, the customer's instructions, the qualifications and materials needed, the cancellation terms and any lane rules. If the scope is unclear, ask before you accept. Where a job needs a specific qualification (for example gas work needs a TSSA gas licence), UPSO will not offer it to you unless that document is on file, and will tell the customer why.

Do not change the scope, timing or price without the customer's informed agreement recorded in the app. Document extra work before it starts. Do not ask for or accept payment outside UPSO for a job that was introduced or arranged through UPSO, unless UPSO has agreed in writing.

Mark arrival, start, pause, completion, delivery and hand-off honestly and on time. A false location, time, completion or delivery record is a serious breach of this Agreement.

Only lanes that are ready go live: your rate, a profile photo and your equipment confirmation are needed before a lane is shown to customers.

6. Service standards and professional responsibility

Do each job yourself or through an approved substitute, with reasonable care, skill, diligence and punctuality; follow the agreed scope and the customer's lawful instructions; protect people, animals and property; and leave the site reasonably safe and clean.

Offer only work you are competent, equipped and legally allowed to do. Hold and keep current every licence, certification, permit, registration and inspection the lane and the location require, and show current proof when asked. UPSO accepting a document does not shift your legal responsibility to UPSO.

Comply with the law that applies to your work: building and trade codes, manufacturer instructions, occupational health and safety, accessibility and human rights, privacy, traffic and vehicle rules, food safety where it applies, municipal by-laws. Do not discriminate, harass, threaten, exploit, retaliate, use violence, carry an unauthorized weapon, work while impaired, or engage in sexual conduct with a customer in connection with a job.

Do not take work that needs a licence you do not hold; do hazardous work outside the accepted category; transport prohibited persons or items; handle controlled substances unlawfully; defeat a safety feature; buy, trade or fake reviews; misuse a customer's property or data; or take part in fraud, theft, money laundering or any other unlawful act.

7. Incidents and emergencies

In an emergency, contact the appropriate emergency service first and take reasonable steps to prevent further harm. As soon as it is safe, report to UPSO any injury, collision, fire, property damage, suspected crime, lost person or animal, data exposure, discriminatory or violent conduct, unsafe premises, food-safety event, alcohol-service problem or other serious incident connected with a job. The SOS button in the app reaches our safety team with your location.

Keep the evidence: messages, photos, receipts and lawfully collected dash-camera material. Cooperate reasonably with insurers and lawful investigations. Do not make admissions or settlements on UPSO's behalf. Nothing here stops you from reporting to police, a regulator, your lawyer, your insurer or emergency services.

8. Prices, fees, payments and tips

The customer price, your payout, UPSO's platform fee, taxes, any expense treatment, cancellation compensation and adjustments are shown to you before you accept a job, or in Schedule 1. A customer-facing charge is never presented to you as earnings unless it is paid to you.

You appoint UPSO, and its payment processor Stripe, as your limited agent to collect the customer's payment for your services and to pay you what this Agreement says you are owed. A customer's payment to UPSO through Stripe counts as payment to you for that amount. You must complete Stripe's account set-up (identity and bank details) to be paid; UPSO never sees your banking details or ID images.

UPSO pays on the schedule in Schedule 1. Timing can also depend on Stripe's settlement, your identity verification, your payout details and lawful holds, but no delay or deduction overrides a payment deadline or right that the law protects.

Tips belong to you, in full. UPSO does not take, hold back or claw back a tip, and a tip never counts toward any minimum-pay guarantee. UPSO will not take back money you have earned except where the law or a court order requires it. A disputed customer charge does not by itself allow UPSO to recover protected earnings.

You may dispute a payout through Help & Support in the app or at [email protected]. UPSO will investigate using the job records and give you a written outcome. Undisputed amounts stay payable while a dispute is open. Where the law requires a minimum-earnings top-up (Schedule 3), UPSO calculates it and shows it separately.

9. Taxes and records

You are responsible for registering for, collecting, reporting and remitting the taxes that arise from your business: income tax, Canada Pension Plan contributions, Employment Insurance premiums where they apply, and Harmonized Sales Tax (HST) if your business is or must be registered. Nothing in this Agreement is tax advice, and either of us may ask the Canada Revenue Agency for a ruling on your status.

UPSO's checkout adds HST at the Ontario rate (13%) to the customer's bill for your services and collects it with the payment. That tax is not part of your payout and is not deducted from it; UPSO accounts for it as the law requires. If you are HST-registered, tell us your registration number through your payout settings so it can appear on the customer's receipt.

UPSO reports Provider earnings to the Canada Revenue Agency under the Reporting Rules for Digital Platform Operators (Part XX of the Income Tax Act) and issues a T4A or equivalent slip for each calendar year. UPSO asks for your Social Insurance Number or business number only when you first request a payout, because that is when the law needs it.

Keep accurate invoices, expense, mileage and tax records for your business.

10. Insurance, WSIB and damage protection

Carry, at your own cost, the insurance the law and the lane schedule require, valid for commercial performance of the services you offer. A personal auto or home policy usually excludes business use; if you drive for pay you confirm to us that your insurer knows and your policy allows it. Provide certificates or other proof before a lane goes live and on renewal.

Trade and construction lanes require commercial general liability insurance of at least CA$2,000,000 per occurrence, and professional services carry errors-and-omissions coverage where customary or required. Caravan drivers confirm that their personal auto insurance permits cost-shared carpooling.

On trade, construction and licensed services, your commercial general liability policy must name UPSO Technologies Inc., 525 Brock Street, Kingston, Ontario K7L 1T9, as additional insured and certificate holder. You may ask your insurance broker to send the certificate to UPSO directly. When you do, you consent to UPSO contacting that broker about this certificate and again before the policy expires.

You are responsible for deciding whether the Workplace Safety and Insurance Act, 1997 applies to you and for holding WSIB coverage and a clearance certificate where it does. In construction, coverage is compulsory unless the narrow home-renovation exemption applies; you declare which applies to you on the construction lanes and must keep that declaration true.

UPSO charges customers a per-job "Damage protection" fee (currently CA$2.50) on service and Send jobs. It funds a UPSO guarantee to the customer of up to CA$500 for property damaged during a job. It is not insurance, it is not paid to you, it does not cover your own losses, and it does not replace the liability insurance your lane requires. If UPSO compensates a customer for damage caused by your negligence or breach, UPSO may recover that amount from you under section 16.

11. Screening and ongoing eligibility

UPSO may require identity verification, licence and driving-record checks, and sanctions and fraud screening, and requires a Canadian criminal record check for every lane. You give a separate, specific consent for a criminal record check; accepting this Agreement is not that consent, and it is not consent to continuous retrieval of sensitive records. A vulnerable sector check is required only for lanes where the law allows it (for example care work), and those checks must be ordered through UPSO.

The criminal record check is paid for by you (currently CA$45), or by your Pro company owner on your behalf. The full amount is credited back to the wallet of whoever paid it once you complete 30 paid jobs, with no time limit. If you already hold a criminal record check dated within the last 12 months, upload it and no fee applies.

Tell us promptly, to the extent the law allows, about a suspension, expiry, restriction, charge, conviction, collision, insurance cancellation or regulatory order that may affect your eligibility or safety in a lane. UPSO assesses such information fairly and individually, consistent with human rights and privacy law.

12. Customer and platform data

Use the personal information you receive through UPSO only to perform the job, address safety, comply with the law or resolve a documented dispute. Do not keep it longer than necessary, use it for your own marketing, sell it, publish it, add the customer to a contact list, or contact the customer outside the app except as the job reasonably requires. Customers see your first name and, if you work through one, your company name; you see the customer's first name. Phone numbers are never shared: calls are connected through masked numbers, and the job chat closes when the job ends.

Use reasonable safeguards: protect your devices and credentials, limit access to authorized people, and tell UPSO promptly about any unauthorized access, loss or disclosure. Comply with lawful deletion, access, correction and preservation requests that UPSO passes on.

UPSO's collection and use of your information is governed by the UPSO Privacy Policy. In short: your location is collected while you are online or on a job (never while offline), the per-job location trail is deleted 30 days after the job closes, and your documents and check results are kept with your file and shared with no one except as the law requires. Any new category-specific monitoring will be disclosed before it starts.

13. Your content, reviews and intellectual property

You own the profile text, photos, trademarks and other content you submit. You grant UPSO a non-exclusive, worldwide, royalty-free licence during the term and for a reasonable wind-down period to host, reproduce, format, display and distribute that content solely to operate, secure and promote the marketplace and your listed services. UPSO may keep copies as required for records, disputes, fraud prevention or the law.

You confirm your content is accurate, lawful, not misleading and does not infringe anyone's rights. Do not buy, trade, manipulate or condition reviews, or pressure a customer to remove an honest review. UPSO moderates content under published rules and provides a way to dispute content that is demonstrably false, irrelevant or unlawful.

UPSO and its licensors own the platform, software, trademarks, templates and aggregate marketplace data. UPSO grants you a limited, revocable, non-transferable licence to use the platform for your business under this Agreement. Do not scrape, reverse engineer, bypass access controls, introduce malicious code, or use platform data to build a competing database.

14. Confidentiality

Each of us will protect the other's non-public business, technical, security and customer information and use it only for this Agreement. This does not cover information that is lawfully public, already known without a duty of confidence, independently developed, or lawfully received from someone else.

Either of us may disclose confidential information to advisers, insurers, processors or authorities who need to know it and owe a duty of confidence, or where the law requires it, giving prompt notice where lawful and limiting the disclosure to what is required.

15. What each of us promises

Each of us confirms we have authority to enter this Agreement and will comply with the law. You further confirm, on acceptance and again with each job, that you are qualified, legally eligible, properly licensed and insured, have reviewed the scope, and will perform with reasonable care and skill.

Apart from the express promises in this Agreement and rights that cannot lawfully be excluded, the platform is provided as available. UPSO does not guarantee uninterrupted access, customer conduct, a job's suitability, a minimum amount of work, or the accuracy of information supplied by users. This does not limit duties UPSO has expressly taken on or that the law imposes.

16. Responsibility and indemnity

You are responsible for your own acts and omissions, your helpers, tools, vehicle, licences and taxes, and for performing your customer contracts. You will indemnify UPSO and its officers, directors and employees against third-party claims, losses and reasonable legal costs to the extent caused by your breach of this Agreement, negligence, wilful misconduct, unlawful act, infringement, or failure to remit taxes you are responsible for.

UPSO will give you prompt notice of a claim it seeks indemnity for, let you take part in the defence, and will not settle in a way that admits your fault or imposes a non-monetary obligation on you without your consent. You owe nothing to the extent a loss was caused by UPSO's negligence, wilful misconduct, legal non-compliance or breach.

Nothing in this Agreement excludes or limits liability for fraud, wilful misconduct, death or personal injury caused by negligence, amounts owed to you, breach of confidentiality or privacy obligations, indemnity obligations, or any liability that cannot lawfully be excluded.

17. Account review, holds and removal

UPSO may investigate a complaint or an account signal using relevant, reasonably available information. You will get a fair chance to respond unless doing so would create a safety risk, compromise evidence, break the law or prejudice an active investigation. Automated signals may support a decision, but a person reviews any material adverse decision.

UPSO applies proportionate measures: education, a warning, content removal, a lane restriction, a temporary hold, cancellation of a job, a payout investigation, or removal from the platform. Grounds include a material or repeated breach, fraud or account sharing, violence, harassment or discrimination, unsafe or impaired performance, loss of a licence or insurance, serious customer harm, manipulated records or reviews, prohibited goods, unlawful conduct, or a credible public-safety concern. Repeated negative events (3 cancellations, no-shows or verified flags within 30 days) pause new work automatically pending a human review, which you can appeal from Trust & Standing in the app.

UPSO may impose an immediate temporary hold where reasonably necessary to protect a person, property, evidence, the payment system or a legal process. A hold is not a final finding. UPSO reviews it promptly, tells you the next steps, and restores access when the basis no longer applies. A job already under way is finished by the person doing it; a hold or removal stops new work.

For a removal lasting 24 hours or more, UPSO gives you a written reason. Where the Digital Platform Workers' Rights Act, 2022 applies, UPSO also gives 14 days' written notice before the removal takes effect, unless you engaged in wilful misconduct that is not trivial and has not been condoned, the removal is needed for public safety, the law requires it, or you can no longer legally do the work. UPSO applies the same 14-day notice to every Provider regardless of lane, and will not use this Agreement to widen a statutory exception.

You may appeal a removal or a final decision within 14 days by replying to the notice in the app or writing to [email protected] with your evidence. Someone who was not involved in the original decision reviews the appeal and UPSO gives you a written outcome. Nothing restricts a complaint to a regulator or any other remedy the law protects, and UPSO will not retaliate against you for exercising a legal right.

18. Term and ending the Agreement

This Agreement continues until it is ended. You may stop offering services at any time and may end the Agreement from your account settings or by written notice. UPSO may end it on 14 days' written notice, subject to section 17 and the law. Ending the Agreement does not cancel a job you have already accepted unless we agree or safety requires it.

After it ends, each of us remains responsible for accrued payment, tax, refund, incident and record obligations. The sections on confidentiality, data, licences already granted, payment, responsibility, disputes and general terms survive as far as necessary.

19. Disputes and governing law

Start with a written notice describing the issue, what you want done and the records that support it, sent through Help & Support or to [email protected]. We will both try in good faith to resolve it within 30 days. Urgent safety matters, injunctions, limitation periods and statutory complaint rights are never delayed by this step.

After that, we may agree to confidential mediation in Ontario, including remote mediation, sharing the fee equally unless we agree otherwise or the law requires a different split. Mediation is voluntary; neither of us has to accept it before pursuing a claim.

This Agreement is governed by the laws of Ontario and the federal laws of Canada that apply there. Subject to any tribunal or other forum the law requires, disputes may be brought in the courts of Ontario. Every dispute about digital platform work covered by the Digital Platform Workers' Rights Act, 2022 is resolved in Ontario. Nothing prevents you from complaining to the Ontario Ministry of Labour, Immigration, Training and Skills Development, the Canada Revenue Agency, the Workplace Safety and Insurance Board, a human rights body, a privacy regulator, the police or any other authority with jurisdiction.

There is no mandatory arbitration clause and no class-proceeding waiver in this Agreement. Any future arbitration agreement would require your separate, informed acceptance and would have to preserve rights that cannot be waived and meaningful access to justice.

20. Changes, notices and general terms

UPSO may change this Agreement for the future by giving you advance written notice that identifies the changed terms and the effective date. A material change to pay, fees, how work is allocated, ratings, suspension, dispute rights, data use or your obligations takes effect for you only after you accept the new version in the app or on the portal. A change never alters an accepted job or a right that has already accrued.

Notices to you go to your in-app inbox and your verified email address; keep both working. Legal notices to UPSO go to [email protected], or by mail to UPSO Technologies Inc., Kingston, Ontario, Canada.

Neither of us is liable for delay caused by events beyond reasonable control, but that does not excuse paying money already earned or duties to protect health, safety, privacy and property. You may not assign this Agreement or transfer your account without UPSO's written consent. UPSO may assign it as part of a bona fide reorganization or sale if the assignee takes on UPSO's obligations and your protected rights are preserved.

This Agreement and the documents it incorporates are the whole agreement about your access to the platform as a Provider and replace any earlier provider terms on that subject. Where the UPSO Terms of Service and this Agreement differ, this Agreement governs your work as a Provider. A waiver must be explicit and does not waive later breaches. If a term is unenforceable it is read down or removed only as far as necessary and the rest continues. Headings are for navigation only.

We each sign electronically. The exact version you accepted, with its date, is kept in your acceptance record (Schedule 4), and this page stays available for you to read, print or save at any time.

Schedule 1: Commercial terms

These are the figures in force on October 11, 2026. Every offer also shows them for that job before you accept. If any of them changes, this Agreement is reissued as a new version and you are asked to accept it again.

Stripe, under the Stripe Connected Account Agreement you accept when you set up payouts
Platform fee
15% of the labour price of a service job, on every lane and in every area, so you keep 85%. A lower rate agreed with you in writing wins. The rate applied to each job is printed on its payout. On an emergency job, the call-out fee is 100% yours and you keep 85% of the premium labour. On Send parcels and other fixed-price work, the price shown to you before you accept is what you keep 85% of. UPSO's service fee, the Damage protection fee and HST are charged to the customer on top of your price and are never shown to you as earnings.
How your pay is worked out
Hourly lanes: your rate multiplied by the time you work on the job, from Start to Complete, counted in whole minutes. Every job pays at least 1 hour, or the lane's minimum billable hours where that is higher (for example 2 hours on moving and most trade lanes; the minimum is shown on the lane), and at most the hours booked. Extra time the customer approves in the app is paid on top, for the time you use. The offer shows your payout for the hours booked as "up to" that amount. A job you win with your own quote pays the quoted price, and a job booked before this version took effect pays the hours booked. Emergency call-outs outside regular hours (Monday to Friday, 8 a.m. to 5 p.m., local time) carry the multiplier for that time band, shown on the offer, applied to your hourly rate, plus the lane's call-out fee; your payout for the job, including your share of the call-out fee, is shown before you accept.
When you are paid
Your pay for a job is sent to your Stripe account when the job closes, the same day, once the customer's payment has been captured and is not refunded or disputed. Stripe then pays your bank on your Stripe account's payout schedule. Tips added after a job, Send return-leg pay, late-cancellation compensation and credits collect in your UPSO wallet: the wallet is paid out to your Stripe account free every Friday when it holds at least CA$5, or you can use Instant cashout at any time for a fee of 3% of the amount (minimum CA$0.75).
Pay period and pay day
Weekly. Pay day is Friday. Job pay is sent at job close, before the pay day.
Tax treatment
HST at 13% is added to the customer's bill for your services and collected by UPSO; it is not part of your payout. Your own income tax, CPP, EI and any HST registration and filing obligations are yours. UPSO reports your annual earnings to the CRA and issues a T4A or equivalent slip.
Screening fee
CA$45 for the criminal record check, paid by you or by your Pro company owner, credited back in full to the payer's wallet after 30 paid jobs, with no time limit. Waived if you upload your own check dated within the last 12 months. Vulnerable sector checks are ordered through UPSO.
Cancellation pay
If a customer cancels a booked-ahead job within 24 hours of the start (and more than 30 minutes after booking it), 20% of the job price is paid to you for the time you held. Same-day and emergency jobs, and any job you have set out for, arrived at or started, go to UPSO for review, and UPSO may pay you a call-out amount from any cancellation fee it keeps.
Customer no-show
If you mark Arrived at the job location (your arrival is confirmed by location), wait 10 minutes and cannot reach the customer, the customer is charged on the same terms as a late cancellation: 20% of the job price is recorded for you and released after UPSO's review, and UPSO keeps its service fee. On a small job a CA$15 call-out fee applies instead, 85% of it recorded for you. If you did not mark Arrived, no fee is charged and the unverified claim counts against your standing.
Your cancellations
You may decline any offer without penalty. Cancelling a job you accepted counts as a negative event; 3 negative events in 30 days pause new work pending a human review (section 17). A job already under way that you cannot finish is reviewed by UPSO.
Pro companies
Pay for work done through a Pro company goes to the company's Stripe account; the owner cashes out the company wallet. A member's solo jobs completed before joining are paid to the member. Screening-fee credits return to whoever paid the fee.
Payout disputes
Help & Support in the app or [email protected]; written outcome; undisputed amounts stay payable.
Appeals
Within 14 days, by replying to the notice in the app or writing to [email protected]; reviewed by someone not involved in the original decision.
Ordinary termination
14 days' written notice by UPSO; any time by you.
Liability cap
None. The exclusions in section 16 apply.

Before you accept any offer, UPSO shows you the estimated payout and how it was worked out, the platform fee, any premium, the location and timing, and any disclosed consequence of acceptance, cancellation or non-completion.

Schedule 2: Category requirements

A. Home, trade and professional services

  • Hold every trade, professional, municipal or business licence the accepted scope requires and never imply a qualification you do not hold. Where a scope needs a specific document (for example TSSA for gas appliances), that work is offered to you only once the document is on file.
  • Assess permits, utility locates, hazardous materials, structural risk and other site-specific requirements before work begins.
  • Use suitable tools and personal protective equipment and isolate the work area where reasonable.
  • Get the customer's approval in the app for materials, subcontractors, scope changes and price changes before incurring or performing them.
  • Carry commercial general liability insurance of at least CA$2,000,000 on trade and construction lanes, naming UPSO Technologies Inc. as additional insured and certificate holder, and hold WSIB coverage or make the home-renovation exemption declaration on construction lanes.

B. Sidekick and general task services

  • Decline tasks involving regulated work, weapons, sexual services, illegal goods, unsafe heights, unprotected hazardous materials, or anything beyond your competence.
  • Do not enter a private area or handle money, credentials, medication, identification or sensitive documents unless the accepted scope expressly requires it and it is lawful.
  • Follow the customer's reasonable household, pet and property instructions without taking supervision over how you do the work.
  • Errand, grocery, laundry, luggage and donation runs are covered digital platform work under Schedule 3.

C. Send: courier and parcel delivery

  • Use a roadworthy, registered and properly insured vehicle (or another approved mode), confirm to UPSO that your insurer allows paid use, and obey all traffic, parking and distracted-driving rules.
  • Inspect packaging for obvious damage, follow the chain-of-custody and proof-of-delivery steps (photo, PIN or signature as the job requires), and protect the recipient's information.
  • Do not knowingly carry dangerous goods, weapons, illegal drugs, cash, live animals, alcohol, tobacco, cannabis, prescription medicine or high-value items except on a lane UPSO has expressly enabled and in full compliance with the law. Alcohol deliveries require checking government photo ID and refusing delivery to anyone under 19, anyone who appears intoxicated, or when no one is there to receive it.
  • Keep food deliveries at the right temperature and separated, never tamper, and report spills, contamination or broken seals.
  • If a delivery cannot be completed, follow the return instructions in the app. The return leg is paid as part of the job where this Agreement or the law provides.

D. Caravan: cost-shared carpooling

  • Caravan trips are non-profit cost-sharing carpools. Each trip is a journey you are already making for your own reasons; riders and parcels are incidental to it. The per-seat contribution only helps cover your operating costs and is capped by UPSO. Your vehicle seats 9 passengers or fewer, excluding you. You are not operating a commercial transportation service, and UPSO does not offer commercial ride-share.
  • Confirm that your personal auto insurance is valid and permits carrying passengers on a cost-shared basis, and tell UPSO if your coverage changes. Carrying parcels on a Caravan trip requires the parcel insurance attestation.
  • Match the verified account and approved vehicle, keep the cabin safe and roadworthy, respect seat-belt and capacity rules, and never drive impaired, dangerously fatigued or distracted.
  • Do not take street hails or cash fares through UPSO, and do not record passengers secretly or use recordings contrary to the law.
  • Respect service animals and lawful accessibility obligations, and never discriminate in accepting or completing a trip.
  • Caravan is outside the Digital Platform Workers' Rights Act (Schedule 3) and outside the Damage protection guarantee, because it is cost-sharing rather than a service UPSO sells.

E. Food preparation and merchant activity are not covered

  • This Agreement does not authorize you to prepare or sell food, operate a food premises, sell regulated products, or act as a grocery or restaurant merchant. Those activities require a separate merchant or kitchen agreement and the public-health, labelling, licensing and inspection requirements that go with them.

Schedule 3: Ontario digital platform work notice

This schedule applies to paid ride-share (if UPSO ever offers it), delivery, courier and errand-type work offered through the platform in Ontario: Send parcels and the errand, grocery, laundry, luggage and donation Sidekick lanes. It applies whether or not you are an employee. On-site home, trade and personal services and Caravan cost-sharing are outside the Digital Platform Workers' Rights Act, 2022, but UPSO honours tip protection and the removal-notice rule for every Provider.

1. Standing information, given when you get access

  • How pay is worked out, including base amount, time, distance, premiums, incentives, expenses and adjustments.
  • Whether UPSO collects tips, when and how, and when they are paid.
  • The recurring pay period and regular pay day (Schedule 1).
  • Every factor used to decide whether a job is offered to you and how it is applied: being online, within your working radius and the job's area, having the service switched on, and meeting any vehicle requirement. The first Pro to accept gets the job. Your rating does not decide who is offered a job; there is no bidding and no surge.
  • Every method used to evaluate your performance, whether it has consequences, and what they are (section 17).
  • This information is published in Help & Support in the app and in the Help & Policies Centre on upso.ca under "Your rights as a Pro" (upso.ca/pro-rights), and UPSO gives written notice before any of it changes.

2. With each offer

  • Your estimated payout and how it was calculated.
  • The factors that led to the offer being made to you.
  • Whether a rating or non-completion consequence may apply, and what it is.

3. Within 24 hours after you complete a job

  • Your actual payout, the detailed calculation and the payment date.
  • Tips collected and payable, and their payment date; for combined jobs, the tip for each original job.
  • Travel-distance calculations used in pay, expenses payable, and any premium with its calculation.
  • Your recorded start and end times for the job.

4. Assignment time and minimum earnings

  • UPSO measures assignment time under the Act and O. Reg. 344/24. A job begins when you accept it (for a scheduled job, when you accept within the release window before its start, otherwise when you start), includes the travel that follows, and ends when the work is done or at the cancellation or non-completion point the law specifies. Waiting between jobs is not assignment time.
  • UPSO pays at least the Ontario general minimum wage, as published by the Ministry of Labour, Immigration, Training and Skills Development, for your assignment time on covered jobs. Tips, gifts, bonuses, expenses and benefit amounts are excluded from the calculation. Any top-up is calculated automatically when the job closes and shown separately on the job and in your statement.

5. Ratings, non-completion and removal

  • UPSO shows you your rating information under the Act's timing and aggregation rules, including your average, and tells you in writing what consequences can follow before applying any consequence for not completing an accepted job.
  • UPSO gives a written explanation for a removal and 14 days' written notice for a removal lasting 24 hours or more unless a statutory exception applies (section 17). You may use the appeal route in Schedule 1 without losing any right to complain to the Ministry. No reprisal will be taken against you for asking about or exercising a right.

6. Records

  • UPSO keeps the records the Act requires (your identity and address, access and removal dates, job dates and times, pay, tips, disclosures, top-ups and notices) for at least 3 years after your access ends, or longer where another law requires.
